what does dark brown transmission fluid with burnt smell mean?

My '94 850 turbo sedan's transmission fluid is dark brown and has a burnt smell. Car shifts fine. Does this just mean I need to flush and change the fluid or could it mean the transmission is wearing out? Thanks.
