They look identical. I figured it might be possibly the engine, assuming the 940 comes with the 16v engine, but other than that what else is there?

Not very much. Unlike the sedans the body style stayed the same, so at some point the 745 sort of gently became the 945. Of course the 765 and 965 differ, as the 765 could come with the V6 or the turbo, while the 965 always came with the inline-6.

Over the years both series have had their changes, but for all practical intents and purposes there's not much difference between, say, a '91 745 and a '91 945 except perhaps equipment levels (at least here in europe the late 700 tended to be a bit poorer specced compared to the "new" 900).

the post 92 940's also had sips and airbags....

940 was sort of a 760 when launched and revised in 92 and 94/95 for majour improvements...

940 has different body pannels (subtle but different)...

940 and 740 share most engines ..except i believe the v6 was never fitted in the 9 series...an inline 6 was used in the 960...

940 sor t of a slightly rounded off and upgraded 740...more amarketing excercise proabably than anything else...

It should be pointed out that the 940 came with a range of engines, the only engine found in a 700 series not found in a 900 series is the K engine, i.e. with carburetor, but I doubt they sold that one in the states.
