Will the rearend from a 94 940 fit in an 88 740?

It will physically fit, but if unless the 1988 car has ABS, you will have speedometer problems. You may have speedometer problems even if both cars are ABS.

Yes but the speedometer is going to be off- a LOT, since the 940 has ABS and therefore more teeth on the ring for the sensor.
Don't ask me how I learned this one...
