Opinions on Tranny Fluid Change. 200

I spoke with my dealer and he suggested that I DO NOT change the transmission fluid in my 1988 240 Sedan. He said that if I do, I would end up replacing the transmission. The fluid looks like mud. I found some Penzoil tranny fluid made for cars with mode than 75,000 miles. It says it will keep the seals moist and not make them leak. Any opinions would be greatly appreciated at this point.
