My M46 transmission won't go into gear. HELP 200

My 1977 242 will not move. If I try to shift into gear, there's a grinding noise. The engine runs fine, but if I let the clutch out, it will stall. In 4th, the car will creep forward, riding out the clutch. Is it the clutch or the transmission?
