240, rust, door, rocker panel 200

I've found a 240 to buy that is in excellent condition, pending a couple of issues:

a. the tailgate door has a 1 inch by 6 inch surface rust spot. The reason seems to be the 'window' is set in and water sits on the lip. The 1990 - 93 models the window was flat with the door. The repair is $300. Is it possible to find a 1990 -1993 tailgate door from a non-rust location? How much? Where?

b. the passenger-side rocker panel. The back 1/3 of the panel up to the rear wheel is a bit soft and starting to peel away. It has undercoating and this was redone. It looks like it might hold still for a couple of years ...depending? Are these structural or cosmetic? I have a quote of about $1000 for a new 'rocker-panel'.

I've thought of skipping the purchase but the car tested out excellent condition and miles (120,000) with 2 owners, pretty good care/service and lots of recent work: calipers, torque rod bushings, bearings, struts, a/c compressor, etc...

These two items seemed small and normal for 240's since they are so old?
