91 240 Automatic Trans not shifting Good 200

The tranny doesn't want to shift from second to third gear when the car is good and warm. Then, it doesn't want to go from 1st to 2nd.

The tranny fluid looks like it needs to be replaced.

I'm thinking I'll change the tranny fluid and filter and adjust the bands as there is a little lag time good from 2nd to 3rd.

Is this a difficult job and will I need a special tools? I did this on a 96 Jeep Grand Cherokee with good results.
