DIRTY screen, fluid only 14k mi old - big tranny prob? 700 1989

While my 745GL (w/AW70L) was in the shop yesterday my mechanic noticed that the tranny fluid was jet black. Upon dropping the pan and looking at the filter screen he found lots of particulate deposits, built up so you could drag your finger through it and leave a trail. The fluid was only changed 14,000mi ago, and the only problem I've had with the transmission is a hard 1-2 shift. Is this a sign of an expensive repair in my future, or do I just need to change the fluid frequently a couple of times?
