91 745 - advice on fair price? 700 1991

I'm considering making an offer on a 91 745 that I found but not sure what a fair price would be - body is rust/dent free, engine seems to be problem-free, but...it needs a clutch (yes it's a 5 speed, I've been searching for one and this is the only one I can find), the shifter is loose and needs repair, the brakes have very high pedal effort and minimal stopping power (could be booster check valve $, or the booster $$$$$), needs a new driver's seat and door trim panel, AC needs a recharge, headliner is just starting to sag, exhaust is hitting the rear axle, other interior trim will need replacing. It has 166k miles...I figured $1300 or so, but the seller seems to think it's worth more...any advice? Thanks
