ECU for volvo ; trying to pass inspection S40 2001

Im having trouble getting my s40 2001 to pass inspection, the computer is saying o2 sensor slow to respond,replaced o2 ,same result.Now its time to goto the dealer,Im thinking its the ECU.I did have the software upgrade in 02,that was supposed to take care of the check engin,has there been any more updates ? Has anyone had a similar problem?

Where is the ECU located?Can it be swapped out with out going to the dealer.Anyone have experience with aftermarket?
Finallly does the dealer have any obligation or responsibility seeing as thier software update was not effective?
