CE / 0133 & 0422 error codes S70

Ive got a 1998 S70 GLT with 210,000 on it.
On my way home the CE light came on, had it checked and got the following:

P0133 - Slow Responding 02 Sensor
P0422 - Main Catlyst Below Threshold

So, if my 02 sensor is on its way out, would that be causing the 0422 code (since its downstream of the sensor), or is that an entirely different problem (but both codes came up at the same time, so i'm hoping they are related).

I'm assuming that the 02 sensor is on its way out. How difficult are they to replace? With all those miles, I'm concerned about it being rusted into place there.

Also, the error code says "slow responding", any idea how long till it dies completely, and what happens when it does die?
