Need Help with ETM Replacement... S80 1999

I have a 99 S80 T6 and the dealer said I need to replace the ETM. I bought a used one with a yellow label on ebay, the dealer said they wouldn't or couldn't install it. So I took it to a private shop (authorized volvo repair) and they charged me $200 to tell me that the ETM was "Locked" to the prior car and that it cannot be reprogrammed. That is contrary to what I have been reading on the brickboard forums and other volvo community sites.

Does anyone know, what does the technician or shop need to do to reuse a previously programmed and run Yellow Label ETM? The ETM I bought was on a 99 s70.
I have seen posts that say that the software just needs an upgrade. I'm not sure if this means for just the ETM or for the entire car.

The part# 8644347 seem to match when I research it online.
