Chuck,

I wrote back to you this a.m. from home. On my way out the door, I checked under the passenger seat again and found the source of the noise. It was exactly what I thought it was - a pencil rolling around. Thanx to you, I was able to find it. What I did was I moved the passenger seat all the way up. I found the heat duct dead center under the seat and noticed the carpet is not flush on the floor but actually raised up a bit above the heat duct. When I reached into this area, you can feel the metal floor - and there it was - a pencil somehow worked it's way into this area and was rolling around on the metal floor under the passenger seat. Check this out on your car, lift up a bit on the carpet stick your hand in there and feel around - I bet you find something is in there sliding back and forth when you accelerate and brake.
