Oil pan seal started to leak, $620 repair? V70-XC70 1999

We took our 1999 V70XC with 56K miles to the dealership today. They have been the only ones to work on the car, but lately I am very suspect of their advice -- every visit is $1000 worth of work.

Today, we took it in and they said that the oil pan seal has started to leak; the vacuum is sucking air which is oxygenating the oil; the lifter is slapping. They said they have to replace the o-ring and the oil pan at a cost of $620. It seems to me that just replacing whatever it is that seals the pan should be enough, no? Why replace the whole pan?

They also said that the upper motor mount is worn through and will begin to affect the other motor mounts. Cost $220 to repair. Any advice?
