the engine in my 1991 740 is pretty much done. i have a nice offer for a rebuild 850 turbo engine with gearbox. now the question - will it fit in a 740, does it needs modifications and if so, how much of a job is it to modify it?

Anything is possible, but some things aren't worth it-- this is one of those things! Your 740 is rear wheel drive and the 850 is front wheel drive, so you would be in for some serious custom modifications (mechanical and electrical). Get a used B230F and have it installed.
