dead? 200

I don't even know where to begin.
My second 240 wgn 1989 and I believe she's dead (Aprox 250,000). Started fouling plugs a while back on a regular basis mostly the number two then the other day all the plugs go at once. Cleaned them and barely made it home fired it up again and It was sputtering oil out of the tail pipe (bad sign right)

Started looking for a replacement and found it's slim pickings so far in los angeles area for used wagons in the 90 to 93 range.

Finally, here is the question.

Is it worth having the engine rebuilt. The body I have is much cleaner then the ones I've been seeing for sale. Prices for this?

I've heard that it's tough to pass CA smog once it's been rebuilt but don't know if this is true or not.

Anyone who can shed a little light on this would be greatly appreciated.
