Should I kiss my tranny goodbye? 700 1990

I have a 1990 740 non-turbo with automatic transmission. The tranny has been replaced with a rebuilt one once already (I don't know when, the car has 133,000 miles on it) It will not shift down when I stop. It stays in third gear unless I switch it from drive to first or second. My mechanic is talking about replacing it with another rebuilt one. It does not make sense to me that it's gone through two transmissions so soon, even if one was rebuilt.
