Keep or not to keep? 200 1990

I'm new to this site and I am looking for some feedback. My 240 DL has 490K miles on it and needs some work to bring it up to speed. I have not modified the car beyond orignal parts etc since I bought it new. It's been a great car and runs well. The body needs a little work,new paint and the usual engine tune-up, etc. The question is should I keep the car and bring it up to speed or just find another 240 in better condition to replace it? If I keep it I would like to make it a project car and make some modifications. If I were to keep it, what modifications does this group recommend? Thanks in advance for your input.
