Transmission trouble 900 1991

Hey You Guys,

Have been having some transmission issues on my 1991 940SE with 260K miles. The auto transmission has been acting up where I have no real power in my driving. If I floor the pedal, it goes to first gear and stays there without shifting out.
When I climb a moderate incline, it slows down significantly.
And I cant go over 70mph in the freeway.

Have not changed my AT oil for about 100K because my mechanic was fearful as this might drain out some of what it "holding the gearing together".
He advises installing a used trans. from a '93 900 series with 70K on it. This will cost me $700.

Should I try draining and re-filling first ?
If this does not work, is this a fair price on the used trans. for parts and labor ?
Any other options.
