Looked at a neglected 940 today 900

I looked at a '94 940 with only 68K miles (asking $4K) today. The owner told me on the phone that the only problems were a missing plastic seat part + a side lens cover. I'm thinking about offering $1K but I don't even know if it's worth that. I found a long list of little problems and these big ones (at least I think they might be big):

-No maint records at all, even though this is the orig owner
-Exhaust is rusted, it also popped several times and I could feel it pulsing with my hand near the pipe. Is that enough to walk away from the car?
-The motor shook like crazy. I'm guessing it needs new mounts ($200 or so?)
-The car pulled to the right and the steering wheel was shaking
-The owner told me that the gas gauge was broken (up to $600, right?)
-I think it still has the original belts + water pump, heck, just about everything on the car may date back to '94
-Lots of oil leaks
-The crank pulley was covered in rust (normal???). This is a southern car that has virtually no body rust.
-All four door panels are puckered around the locks (locks do work) + several other interior plastic parts are missing/busted
-I noticed many black specs on the fuse board. What's up with that? The owner is a smoker (another bonus). Could it be from the nearby ashtray?
-It has about a 6" long dent at the front passenger corner

Is this car worth dealing with? On the plus side the AC works, it only has 68K miles, the paint/body look good (other than the dent) and it ran strong (in spite of the owner).
