I've tried everything(i think), aw70 transmission problem 200 1991

Here goes, when reaching high speeds (overdrive speeds) my transmission will slip out of overdrive into 3rd gear no matter what speed. It usually maintains in overdrive until I take my foot off the accelerator. Then it drops into 3rd and the revs shoot way up. Sometimes it will shift between 3rd and overdrive every second or so for a few until I accelerate. Again, it generally happens after I take my foot off the gas.
I do get a fault code 2-3-2 (engine compensating for rich/lead mix at cruise)
I have:
replaced OD relay and solonoid, also tried it with the grinded solonoid
checked kickdown cable (it seems to retract just fine every time)
adjusted kickdown cable
flushed tranny and had filter change (2 times)
the tranny only has 145k on it
tested idle control motor
any other ideas, maybe the speed sensor?
or is it just time for a new tranny?
