740 GLE Dies Is it The Timing Belt? HELP 700 1990

Hello All - 1990 740 GLE 16-valve - I was driving on the interstate in 55th gear and the car lurched, like it come out of gear, the rmps didn't change when I pushed acc. - had no power but warning lights didn't come on until the car come to a stop. When I tried to start it, the starter is whirring but engine is not cranking. I thought at first it was timing belt, and read about replacing, bad news on that one cause the faqs say if timing belt goes so does the engine, yuck, that sucks, anyhow, it's given us 4 years and has over 300,000 on it, what does it sound like to you all, should I tow it home (40 ml) or give it to the wrecker for junk? Just wanted opinions before I go pulling covers on the side of the road.
