Transmission Rebuild???? 200

So I went to AAMCO just to see what it would cost to get some of my transmission problems fixed. My transmission is not slipping. The fluid is dark, not the darkest I have ever seen in a car, but its not in a healthy state right now. My shifts points are all delayed (1st to 2nd occurs at 2000, 2nd to 3rd occurs at 3000, and 3rd to OD occurs at, and only at, 50) and they aren't gentle, hard when cold, noticeable when hot. Now, my kickdown cable was "by passed" (cut) by the garage the PO went to all the time, why I am not so sure. My OD only comes on when the transmission is hot enough to unstick whatever is stuck. The solenoid works, as does the relay and switch, and all of the wiring is good as far as I know.

To rebuild they asked $1400 - $1900. Wow. For an Aisin Warner, really?
They refused to flush it.

Has anyone had their transmission rebuilt?
How worried should I be about the transmission not working after a flush?
I understand how and why that could happen, but I don't think I should be so concerned with that because those quick lube places offer to change the fluid with every oil change (not that I take my 240 to those places, but the girlfriend takes her honda there).

Any advice is greatly appreciated,
