Buying 89 240DL 200 1989

Hi all,
I'm looking at buying a 240 from a family member. It's very clean and well taken care of. It's got 166,000 on it. New tires, and exhaust system.
The automatic transmission fluid was low, so he added some a few days ago. I also notice a little whine from the tranny when it's cold, and a whistling noise around 40 MPH. It goes away once it's warm. When the muffler was replaced, the guy said the pinion seal was bad and needed to be replaced.. is this a big job (price wise)? Does this have to do with the noise?
I'm figuring, if I go with the car.. have the pan dropped, cleaned, the gasket and filter replaced.. along with the pinion seal.
What do you guys think?
Other than that.. the windshield seal needs replacing.. The speedo doesn't go over 55, as well. He's offering it to me for $750.
