Old GL Wagon on Death Bed 200 1985

Took my 1985 GL wagon into the mechanic and he said the rust was getting so bad on the frame of the car that he thought it was becoming unsafe. Said the car could crumple in the wrong places in an accident due to the rust. I am wondering what the value of the car is and what I should due with it. The engine has about 130k miles on it and runs great.

At the same time, the mechanic offered to buy the car from me for $800. Hmm.

I am considering looking for a newer wagon with a bad engine and switching them out. I believe the engines would be compatible. Also I really like the leather bucket seats. I believe the seats would fit a newer (1990-1993?)240 wagon. Any Advice?
