giving 240 another 300K 200 1989

I'm unsuccessful and weary from searching archives for another soul's query that seeks what I do: to drop a 140K B230F from a '92 940 GL into MY (near perfect specimen)1989 240 wagon with 297K on it. It's a shame to cut off a gorgeous career for the current engine but, though in great shape, it's tired and I have a free smashed donor car (engine, tranny, etc untouched). Opportunity has found me.

What does a changeover REALLY involve for my mechanic/wallet? This is a NA affair--no horsepower seeker. The trannies ought to be the same -- in what ways do you think this is a bad idea?
