What's that growling noise?? 700

If any of the gurus out there can identify the likely culprit of a rear area noise under my '89 740 ...I would appreciate it. The noise sounds like a tailpipe hitting the floorboard, but that all looks OK. Increases with acceleration, goes away when coasting, can't hear it under 20 MPH or over 55 MPH. Not dependant on engine RPM or transmission gear. No clunking (like bad u-joints.) Oh and it doesn't make noise when it's cold, only after driving about 5 miles. Just a steady growl.

I am changing the rear transmission mount and hoping for the best. Any clues???
