Catalytic Converter 900

I have a 93 960 w/175K. On a recent tour of its underbelly, I noticed that the shell of the catalytic converter is hanging down due to its being rusted on one side. I have a friend in a shop that suggested that I remove it and replace it with pipe, and that I replace the 2nd muffler, (also showing rust) with straight pipe. I am in a state that does not require emissions testing, but am unsure of the possible damage this may cause. Advice?
