transmission slips when cold

I did a site search and found an identical post in December, but didn't see any useful replies. I have an '87 240. Starting last winter, on very cold mornings, when the car is stopped and in "D", the transmission doesn't engage initially, but rather revs up a bit and then clunks as it engages. Like popping the clutch on a manual tranny. Sometimes it won't engage at all for a bit and I can run the shifter all the way through from "P" to "1" without any response. Once the car is warm or the outside temp is above 30F there's no problem. The fluid was a little brown when I gave it a flush, but the problem persisted. The filter hasn't been changed in a few years and will be done before the cold comes back in October. This is a family car with 370K+ and still doesn't burn any oil. Any ideas are appreciated-
