Do I need a re-built Transmission? 200

I have a mint 245 turbo with 190K miles on it. The rear main engine seal has been leaking for a number of years, as has the transmission at the bell housing. Before I left Seattle for SF area(3 years ago), the independent shop mechanic who did all my work said that he could pull the trans, replace the rear main seal, and replace the transmission pump seals for about 5 to 5.5 hours of labor charge. He did not think the trans needed replacement.

When the car is cold, the transmission hesitates or slips for maybe 2-3 seconds when first started, then is fine. Never slips otherwise, shifts crisply, works perfectly.

The car is now at a dealership here in CA. The dealer mechanic is cautioning me that there may be other leaks at the oil pan, and is suggesting that a car as mint as mine with 190K miles should probably have a rebuilt trans, since it could fail soon, and considering the cost of pulling it to simply replace seals.
