I'm not sure if it would be an upgrade at all.
The M40 and M41 are great trannies.
And if you want the shifter closer and shorter you can get a later lid
with the later style shifter (which would require tunnel surgery).

If you are having trouble with your tranny and can't find the right replacement
it might be fine but otherwise I wouldn't.
